Terms of Service

1. Acceptance of Terms

By accessing or using Chief OS ("the Service") at chiefosapp.com, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

These Terms constitute a binding agreement between you and Frazier Digital ("we," "us," or "our"). We reserve the right to update these Terms at any time. Continued use of the Service after updates constitutes acceptance of the revised Terms.

2. Description of Service

Chief OS is an AI-powered task management and productivity assistant designed for solopreneurs and single-owner businesses. The Service includes task management, AI-assisted scheduling, calendar integration, push notifications, and related features.

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with or without notice.

3. Eligibility

You must be at least 13 years old to use the Service. By using the Service, you represent that you meet this requirement and have the legal capacity to enter into these Terms.

4. Account Registration

You may create an account using Google OAuth. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

You agree to notify us immediately at thefrazierdigital@gmail.com of any unauthorized use of your account.

5. Acceptable Use

You agree not to use the Service to:

• Violate any applicable law or regulation
• Infringe the intellectual property rights of others
• Transmit any harmful, offensive, or unlawful content through the AI assistant
• Attempt to gain unauthorized access to the Service, our systems, or other users' accounts
• Reverse engineer, decompile, or attempt to extract the source code of the Service
• Use automated tools, bots, or scrapers to access the Service without our express written permission
• Resell or redistribute the Service without authorization
• Circumvent any security measures or rate limits we implement

We reserve the right to suspend or terminate your account for violations of this Acceptable Use policy.

6. Your Content and Data Ownership

You retain full ownership of any tasks, lists, notes, and content you create within the Service ("Your Content"). By using the Service, you grant Frazier Digital a limited, non-exclusive, royalty-free license to store, process, and display Your Content solely to provide the Service to you.

We do not claim any ownership rights in Your Content. We will not use Your Content for any purpose other than providing and improving the Service.

You may export or delete Your Content at any time. Upon account deletion, we will remove Your Content from our systems within 30 days, except where retention is required by law.

7. AI-Powered Features

Chief OS uses artificial intelligence, including Anthropic's Claude API, to process your inputs and generate task suggestions, prioritizations, and scheduling recommendations. You acknowledge that:

• AI outputs are suggestions and not professional advice (legal, financial, medical, or otherwise)
• AI responses may occasionally be inaccurate, incomplete, or inappropriate — exercise your own judgment
• You are solely responsible for any decisions you make based on AI-generated content

8. Third-Party Integrations

The Service integrates with third-party services including Google (OAuth and Calendar), Anthropic (AI processing), and optionally Telegram. Your use of these integrations is also subject to the respective third parties' terms of service and privacy policies.

We are not responsible for the availability, accuracy, or actions of third-party services.

9. Intellectual Property

The Service, including its software, design, branding, and all content created by Frazier Digital, is the intellectual property of Frazier Digital and is protected by applicable copyright, trademark, and other intellectual property laws.

You may not copy, modify, distribute, or create derivative works based on the Service without our express written permission.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY.

We do not warrant that the Service will be uninterrupted, error-free, or free of viruses or other harmful components. We do not guarantee the accuracy or completeness of any AI-generated content.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, FRAZIER DIGITAL SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID FOR THE SERVICE IN THE TWELVE MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED DOLLARS ($100).

12. Indemnification

You agree to indemnify, defend, and hold harmless Frazier Digital and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from your use of the Service, Your Content, or your violation of these Terms.

13. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. You may terminate your account at any time by deleting it from Settings or contacting us at thefrazierdigital@gmail.com.

Upon termination, your right to use the Service ceases immediately. Sections that by their nature should survive termination will do so, including data ownership, limitation of liability, and indemnification.

14. Governing Law and Disputes

These Terms are governed by the laws of the United States. Any disputes arising from these Terms or the Service will first be attempted to be resolved informally by contacting us at thefrazierdigital@gmail.com.
